I'M JUST CURIOUS SIR, AS TO HOW DIFFERENT ARTICLES PUT BEFORE THE BOARD OF DIRECTORS ARE VOTED ON WHEN ALL THE MEMBERS I'M SURE DON'T RESIDE IN THE OMAHA/ BELLVUE AREA.
THERE MUST BE A QUORUM PRESENT WHEN A VOTE IS NEEDED TO PASS AN AMENDMENT ETC? OR ARE PROXY VOTES USED BY MEMBERS WHO LIVE IN OTHER STATES?? JUST CURIOUS SIR.

Good question on an Interesting point; further there is a story here.
Back in 1995, the internet was the new technology on the block. However, being who we are, perhaps the old American ingenuity took root. We "the members of board" know that we range far and wide as to where we live. So, we used Email to solve our problem. In selecting candidates for board members, it was a desired attribute that the person have access to eMail, either personally or close to a friend that could be depended upon for a means for communication.
We developed a set of rules of order for being in session on the internet, not unlike many commercial enterprises now of days.
Essentially, we are in session 24 hours a day, 7 days a week, and with laptops, vacations or travel is not a problem.
I think this process works better than having an occasional "get together structured board meeting", where the time element restricts the quality of work in progress. After ten years of making this work, we probably could copyright our procedures as a structured set of rules (for sale), not unlike Roberts Rules of order. However, we must realize that we are a not-for-profit organization, so, forget that.
