Subject: Memo for Record - Article VIII, Association Articles of Incorporation

MEMO FOR RECORD

In February 2005 Board member Michael Cook noted that Article VIII, Membership, of the 55th SRW Association Articles of Incorporation stated that the Association "will have a single class of members, each required to pay the appropriate annual dues......."

Over time the Board of Directors had established various categories of dues-free memberships, all of which for the betterment of the Association.

Based upon Cook's opening discussion, it was determined by a consensus of the Board that Article VIII should be amended to conform to the current situation. This matter and suggested actions were discussed at length at Board meetings at the reunion in San Diego in March 2005. However, the issue was held over for future final determination/action by the Board of Directors.

President Jim Thomas initiated said discussion/action on amending Article VIII and adding Bylaw 7 on 13 May 2005 via e-mail outlining the amendments and the process.

After a period of appropriate reflection upon the proposals, George Ross on 16 May moved that the changes to Article VIII be adopted. Motion was seconded by Don Griffin and Jim Maloney same date. The president called for voting. Motion carried by unanimous yes votes on 16-17 May 2005.

Thus, the last sentence of Article VIII, will now read: "The Corporation will have classes of membership as specified in the Bylaws."

Article VIII as amended will be forwarded to the State of Florida for appropriate action.
